1. Overview
These Terms of Service govern your use of the Cadence platform, website, and related services (the "Services"). By accessing or using the Services, you agree to these terms.
If you are using the Services for an organisation, you confirm you have authority to bind that organisation to these terms.
2. Eligibility and Accounts
You must be at least 18 years old and able to enter into a legally binding contract.
You are responsible for account credentials, user access, and all activity under your account. You must notify us promptly if you suspect unauthorised access.
3. Use of the Services
You agree not to misuse the Services. This includes, without limitation:
- Attempting to gain unauthorised access to systems, data, or accounts.
- Interfering with service integrity, performance, or security.
- Using the Services to violate laws, regulations, or third-party rights.
- Uploading or transmitting malicious code.
We may suspend or restrict access where needed to protect users, Cadence, or the public.
4. Customer Data
You retain ownership of data you submit to the Services ("Customer Data"). You grant Cadence a limited licence to host, process, and use Customer Data solely to provide and improve the Services.
You are responsible for ensuring you have all rights, consents, and legal basis required to provide Customer Data to us.
5. Fees and Payment
Paid plans, if applicable, are billed as described in your order form or subscription settings. Unless stated otherwise, fees are non-refundable and exclusive of applicable taxes.
You are responsible for taxes, duties, and government charges associated with your subscription.
6. Intellectual Property
Cadence and its licensors retain all rights, title, and interest in the Services, including software, branding, and documentation. These terms do not transfer ownership of Cadence intellectual property to you.
7. Third-Party Services
The Services may integrate with third-party tools and platforms. Cadence is not responsible for third-party products or services, and your use of them is subject to their terms.
8. Warranties and Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available". Cadence does not warrant uninterrupted operation, error-free performance, or that the Services are fit for every purpose.
Nothing in these terms excludes non-excludable rights you may have under the Australian Consumer Law.
9. Limitation of Liability
To the maximum extent permitted by law, Cadence is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data.
Cadence's aggregate liability arising out of or in connection with the Services is limited to the amount paid by you to Cadence for the Services in the 12 months before the event giving rise to liability.
10. Termination
You may stop using the Services at any time. Cadence may suspend or terminate access for material breach, legal requirements, or security risk.
On termination, rights granted to you under these terms end immediately. Clauses that by nature should survive termination will continue to apply.
11. Changes to These Terms
We may update these terms from time to time. We will post the updated version on this page and update the "Last updated" date.
12. Governing Law
These terms are governed by the laws of Victoria, Australia. You and Cadence submit to the exclusive jurisdiction of the courts of Victoria.
